Terms of Service

These Terms of Service govern access to noder360.com and services offered under the Noder360 brand by TEAVE BUSINESS SOLUTIONS PRIVATE LIMITED.

1. Acceptance

By ordering, accessing or using a Noder360 service, the customer agrees to these Terms, applicable product terms, the Acceptable Use Policy, Privacy Policy and any order-specific conditions.

2. Services

Noder360 provides technology services that may include domains, hosting, cloud infrastructure, business email, SSL, backups, website tools and business management software modules. Exact specifications, limits and support levels are those shown in the applicable plan, quotation or order.

3. Customer account

Customers must provide accurate account information, keep credentials secure, maintain current contact details and promptly notify Noder360 of unauthorized access.

4. Customer responsibilities

Customers are responsible for their websites, code, content, uploaded data, employee/user permissions, business records, tax inputs and use of the services. Customers must ensure they have legal rights to content and data submitted to Noder360.

5. Service configuration and limits

Storage, CPU, memory, bandwidth, users, branches, mailboxes, backups, support and feature limits vary by plan. Excessive or abusive resource use may require upgrade, remediation or restriction.

6. Domains and third-party services

Domain names, certificates, licences and certain infrastructure components may be supplied through third parties and remain subject to applicable registry, registrar, vendor or provider rules.

7. Business software

Noder360 business modules assist with operational recordkeeping and workflow. Customers remain responsible for reviewing entries, reports, tax information, employee data and statutory submissions before use or filing.

8. GST and tax workflows

GST features are software and workflow tools based on customer-provided data. Filing-support, where purchased, does not remove the customer's responsibility for accuracy, records, approvals and applicable compliance obligations.

9. Availability and maintenance

We aim to operate reliable services but availability may be affected by maintenance, updates, infrastructure incidents, third-party failures, customer configuration, security actions and events beyond reasonable control. Any formal uptime commitment applies only when explicitly stated in the relevant plan or agreement.

10. Fees and taxes

Customers must pay applicable service fees and taxes according to the order or invoice terms. Fees for third-party items already provisioned may be non-refundable.

11. Suspension or restriction

We may restrict or suspend access when required for security, overdue service fees, unlawful activity, material policy violation, harmful resource use or protection of other customers and systems.

12. Intellectual property

Noder360 software, website content, branding, interfaces and documentation remain owned by or licensed to TEAVE BUSINESS SOLUTIONS PRIVATE LIMITED. Customers receive only the rights required to use subscribed services during the subscription term.

13. Customer data ownership

As between the customer and Noder360, the customer retains ownership of customer content and business data, subject to rights required for Noder360 to host, process, back up and support the service.

14. Limitation of liability

To the maximum extent permitted by applicable law, services are provided subject to the limitations stated in the applicable agreement. Noder360 is not liable for indirect, incidental or consequential losses, loss caused by customer configuration, unsupported software, unlawful content or third-party services, except where liability cannot legally be excluded.

15. Termination

Customers may discontinue services according to the cancellation policy and applicable billing term. Data export and retention after termination depend on the relevant product and retention policy.

16. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, courts at Lucknow, Uttar Pradesh shall have jurisdiction.
